Terms of Use
These are the terms for using Matterkeep during its current pilot stage. They are written to be readable, not to hide anything.
Use of the service
Matterkeep provides a workspace for requesting, collecting, reviewing, and approving client documents. Use is limited to lawful professional purposes — primarily document collection and review within a law firm or similar professional services context.
By creating a workspace, you confirm that you have authority to bind your firm to these terms and that you will use the service only for its intended purpose.
Firm responsibility
The firm that creates and maintains a Matterkeep workspace is responsible for:
- The accuracy and appropriateness of document requests sent to clients
- Ensuring appropriate client consent for collecting documents through the platform
- Managing team access, including promptly disabling accounts of former staff members
- Securing account credentials and not sharing passwords between users
- Reviewing uploaded documents before marking them as accepted
Client documents
Clients upload documents at the direction of the firm. Matterkeep stores these documents on behalf of the firm. The firm is responsible for ensuring clients understand what they are being asked to upload and for what purpose.
Matterkeep does not review the content of uploaded documents and makes no representations about their legal validity, authenticity, or sufficiency for any purpose.
Acceptable use
You must not use Matterkeep to:
- Collect documents under false pretenses or through impersonation
- Request documents that are illegal to collect, possess, or process
- Attempt to access another firm's records or another client's upload link
- Circumvent rate limits, access controls, or security measures
- Upload files intended to exploit vulnerabilities in Matterkeep or downstream systems
- Use the service in a way that causes disruption to other users or to Matterkeep infrastructure
Account security
You are responsible for maintaining the confidentiality of your account credentials. Each team member should have their own account. Shared passwords are not permitted.
If you believe your account or your firm's workspace has been compromised, contact us immediately at support@getmatterkeep.com.
Availability
Matterkeep is a pilot-stage product. We aim for reasonable availability but do not guarantee uptime or uninterrupted service. The service may be updated, temporarily unavailable, or discontinued. We will provide notice where practical.
No legal advice
Matterkeep is a document management tool. It does not provide legal advice, does not constitute legal representation, and does not create any professional relationship between Matterkeep and the clients of your firm.
Lawyers and other professionals using Matterkeep remain solely responsible for their professional obligations to their clients.
Data and files
Matterkeep holds data on your behalf and processes it as described in the Privacy page. You retain ownership of your firm's data and client files. Matterkeep does not claim any rights to uploaded content.
Self-serve data export and deletion are not currently available. Contact support@getmatterkeep.com to request an export or deletion.
Limitations of liability
Matterkeep is provided for pilot use. To the extent permitted by law, Matterkeep is not liable for indirect, consequential, or incidental damages arising from use of or inability to use the service.
Our total liability in connection with any claim under these terms is limited to the amount paid for the service in the three months preceding the claim.
Changes to these terms
These terms may be updated as the product evolves. Changes will be communicated via email to firm administrators at least 14 days before taking effect, except for changes required for legal or security reasons which may take effect immediately.
